1. Acceptance of Terms

By creating an account on OrbitVerse, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the platform. These Terms constitute a binding legal agreement between you and OrbitVerse Holdings, validly formed as an electronic contract in accordance with the Nigerian Electronic Transactions Act.

2. Regulatory Framework

OrbitVerse operates its payment, escrow, and wallet services in alignment with the Central Bank of Nigeria (CBN) Regulation on Electronic Payments 2014 and subsequent CBN guidelines on e-payment channels.

These Terms are also designed to align with: the Consumer Protection Council (CPC) Act 2004; the Federal Competition and Consumer Protection Act (FCCPA) 2019; the Electronic Transactions Act; and, for cross-border transactions within West Africa, the ECOWAS Trade Liberalisation Scheme (ETLS).

3. The Platform

OrbitVerse is a verified marketplace platform that provides:

  • OrbitMart: a verified product marketplace
  • OrbitTrade: escrow and transaction protection
  • OrbitVerify: identity verification
  • OrbitMarket Hubs: verified physical market directories
  • OrbitWallet: an in-platform digital wallet

4. Eligibility

You must be at least 18 years old to use OrbitVerse. By registering, you confirm that all information you provide is accurate and that you have the legal capacity to enter into binding contracts.

5. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials
  • You may not share your account with others
  • You must notify us immediately of any unauthorised access
  • One person may not operate multiple accounts without written permission
  • Accounts found to be duplicates will be suspended

6. Seller Obligations

5.1 Listing Standards

  • All listings must accurately describe the product
  • Prohibited items include: counterfeit goods, weapons, narcotics, stolen property, and any item illegal under Nigerian law or applicable local law
  • Prices must be stated clearly in the listed currency
  • Stock availability must be kept accurate

5.2 Verification

  • Sellers must complete at least Basic verification (phone number) before listing
  • Sellers handling transactions above NGN 500,000 per month must complete Standard verification (NIN or BVN)
  • Business accounts handling above NGN 2,000,000 per month must complete Business verification (CAC)

5.3 Fulfilment

  • Sellers must ship orders within 3 business days of escrow confirmation
  • Sellers must provide valid tracking information
  • Failure to fulfil orders will result in automatic escrow refund to buyer and TrustScore penalties

7. Buyer Obligations

  • Buyers must confirm or dispute delivery within 7 days of the seller marking an order as shipped
  • If no action is taken within 7 days, escrow funds are automatically released to the seller
  • Buyers must not raise false disputes
  • False disputes will result in TrustScore penalties and potential account suspension

8. Escrow Service (OrbitTrade)

8.1 How Escrow Works

When a buyer places an order, payment is held in escrow by OrbitVerse. Funds are released to the seller only when:

  • The buyer confirms delivery, or
  • 7 days pass after the seller marks the order as shipped with no buyer action

8.2 Escrow Fees

  • Platform fee: 1.5% of transaction value, plus 7.5% VAT on the fee (effective 1.6125%)
  • Escrow fee: 1.0% of transaction value, plus 7.5% VAT on the fee (effective 1.075%)
  • Cross-border FX spread: 0.8% (applies only to cross-currency transactions; VAT-exempt as a financial service)

8.3 Disputes

Either party may raise a dispute before escrow is released. OrbitVerse will review evidence from both parties and resolve the dispute within 48 hours. Our decision is final. The losing party will receive a TrustScore penalty.

8.4 Refunds

Refunds from cancelled or disputed orders are credited to the buyer's OrbitWallet within 24 hours of resolution.

9. OrbitWallet

9.1

The OrbitWallet is a stored-value account within the OrbitVerse platform. It is not a bank account and is not insured by any government deposit scheme.

9.2 Wallet Rules

  • Minimum withdrawal: NGN 1,000
  • Maximum wallet balance: NGN 10,000,000
  • Withdrawals are processed within 1-3 business days
  • OrbitVerse reserves the right to freeze wallets suspected of fraudulent activity

9.3 Cashback

A 0.5% cashback is credited to the buyer's wallet on every successfully completed order.

10. TrustScore

TrustScore is OrbitVerse's proprietary reputation system. It is calculated based on order completions, reviews, dispute outcomes, delivery performance, and verification status. TrustScore is not transferable and cannot be purchased. OrbitVerse reserves the right to adjust TrustScore in response to platform abuse.

11. Prohibited Conduct

The following are strictly prohibited:

  • Circumventing the escrow system (conducting transactions off-platform after meeting on OrbitVerse)
  • Manipulating reviews or TrustScore
  • Impersonating another user or business
  • Listing prohibited items
  • Using the platform for money laundering or financial crime
  • Automated scraping or data extraction without permission
  • Creating fake accounts or operating multiple accounts

Violations may result in immediate account suspension, wallet freeze, and referral to relevant authorities.

12. Intellectual Property

OrbitVerse, OrbitMart, OrbitTrade, OrbitVerify, OrbitWallet, OrbitMarket Hubs, and TrustScore are trademarks of OrbitVerse Holdings. You may not use these marks without written permission.

13. Tax and Revenue

Sellers are solely responsible for declaring their income from OrbitVerse sales to the Federal Inland Revenue Service (FIRS) or the relevant tax authority in their jurisdiction. OrbitVerse is not a tax agent and does not withhold income tax on behalf of sellers.

  • OrbitVerse charges 7.5% Value Added Tax (VAT) on its platform fees, in accordance with the Value Added Tax Act 2007 as amended by the Finance Act 2019.
  • Withholding tax obligations, where applicable, remain the responsibility of the seller.
  • Cross-border sellers are responsible for compliance with the tax laws of their own country.
  • OrbitVerse will issue annual transaction summaries to sellers on request, for use in their personal or business tax filings.

14. Anti-Money Laundering and Counter-Terrorism Financing (AML/CFT)

OrbitVerse complies with the Financial Action Task Force (FATF) recommendations on anti-money laundering and counter-terrorism financing (AML/CFT).

  • You must not use the platform for money laundering, terrorism financing, sanctions evasion, or any other financial crime.
  • OrbitVerse reserves the right to file Suspicious Transaction Reports (STRs) with the Nigerian Financial Intelligence Unit (NFIU) where activity warrants it.
  • Accounts suspected of involvement in financial crime may be frozen pending investigation, without prior notice.

15. Cross-Border Trade Terms

Cross-border transactions on OrbitVerse are subject to the applicable import and export laws of the buyer's and seller's respective countries.

  • Buyers are responsible for any customs duties, import taxes, or related charges imposed by their country.
  • OrbitVerse foreign exchange (FX) rates are indicative and, once shown at checkout, are locked for 15 minutes.
  • Settlement to sellers is made in the seller's local currency, subject to Flutterwave's transfer rails and processing times.
  • OrbitVerse is not liable for delays caused by correspondent banking processes or regulatory holds in the destination country.
  • Transactions between ECOWAS member states are subject to ECOWAS Trade Liberalisation Scheme (ETLS) protocols where applicable.

16. Limitation of Liability

OrbitVerse acts as an intermediary between buyers and sellers. We are not responsible for:

  • The quality, safety, or legality of listed items
  • The accuracy of seller descriptions
  • Losses arising from buyer or seller fraud beyond our escrow protection

Our maximum liability to any user in any calendar month is limited to the total fees paid by that user to OrbitVerse in that month.

17. Indemnification

You agree to indemnify OrbitVerse against any claims, damages, or costs arising from your violation of these Terms or your use of the platform.

18. Force Majeure

OrbitVerse will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of government or regulatory bodies, changes in law or regulatory action, network or internet outages, payment rail or banking system failures, natural disasters, civil unrest, or pandemics.

19. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes arising from these Terms shall first be addressed through OrbitVerse's internal dispute resolution process. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004, with the seat of arbitration in Lagos State, Nigeria, except where mandatory local law requires otherwise.

Nothing in this section limits a consumer's rights to lodge a complaint with the Consumer Protection Council or the Federal Competition and Consumer Protection Commission.

20. Entire Agreement

These Terms, together with any policies referenced herein, constitute the entire agreement between you and OrbitVerse Holdings regarding your use of the platform, and supersede any prior agreements or understandings.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

22. Waiver

No failure or delay by OrbitVerse in exercising any right under these Terms will operate as a waiver of that right, nor will any single or partial exercise of a right preclude any other or further exercise of that right.

23. Changes to Terms

We will notify you of material changes via email and in-app notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance.
